This website is operated by Misiyo Candle Company Ltd. (“Misiyo,” “we,” “us,” or “our”). Throughout the site, these terms refer to Misiyo Candle Company Ltd., a company registered in Alberta, Canada.

By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by the following Terms of Service, including all policies referenced herein. These Terms apply to all users of the site, including browsers, customers, vendors, and wholesale accounts.

Please read these Terms carefully. If you do not agree, you may not access the website or use any of our services. Our store is hosted on Shopify Inc., which provides our e-commerce platform.

By agreeing to these Terms, you confirm that you are at least the age of majority in your province or state of residence, or that you have given consent for minor dependents to use this site.

You may not use our products or services for any illegal or unauthorized purpose, or in violation of any laws in your jurisdiction, including copyright laws. A breach of any of these Terms will result in immediate termination of your access to our Services.

Section 2 — General Conditions

We reserve the right to refuse service to anyone for any reason at any time. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from us.

You understand that your content (excluding credit card information) may be transferred unencrypted and involve transmissions over various networks. Credit card information is always encrypted during transfer.

Section 3 — Accuracy of Information

We make reasonable efforts to ensure product descriptions, pricing, and availability are accurate, but we do not warrant that all information on this site is complete, current, or error-free. Material on this site is provided for general information purposes only.

We reserve the right to correct errors, update information, or cancel orders where inaccuracies exist, including after an order has been submitted. We will make reasonable efforts to notify you if your order is affected.

Section 4 — Products, Pricing, and Availability

Prices are subject to change without notice. We reserve the right to modify or discontinue any product or service at any time. We are not liable to you or any third party for any modification, price change, or discontinuation.

We have made every effort to display product colours and images as accurately as possible. We cannot guarantee that your screen’s display of any colour will be accurate, particularly for handmade items where natural variation is expected.

We reserve the right to limit sales to any person, geographic region, or jurisdiction, and to limit quantities on a case-by-case basis.

Section 5 — Orders and Billing

We reserve the right to refuse or cancel any order at our discretion. This includes orders that appear to be placed by resellers or distributors without a wholesale agreement, or orders flagged for suspected fraud.

You agree to provide current, accurate, and complete purchase and account information for all transactions. You agree to promptly update your account information, including email address and payment details, so that we can complete your transactions and contact you as needed.

In the event that we cancel or modify your order, we will attempt to notify you using the contact information provided at the time of purchase.

Section 6 — Shipping and Delivery

We ship within Canada and to the United States. Shipping timelines are estimates only and are not guaranteed. Once your order has been handed to a carrier (Canada Post, UPS, or similar), delivery is the responsibility of that carrier.

We are not liable for delays, losses, or damages caused by the carrier, customs delays, incorrect addresses provided by the customer, or circumstances outside our control (including extreme weather or postal disruptions).

If your package is lost or significantly delayed, please contact us at hello@misiyo.com and we will work with you to investigate and, where appropriate, arrange a resolution. Claims for lost packages must be submitted within 30 days of the estimated delivery date.

Customers are responsible for providing accurate shipping information. We are not responsible for packages delivered to an incorrect address provided at checkout, and reshipping fees may apply.

Section 7 — Returns, Refunds, and Exchanges

Our full return and exchange policy is available on our website. By making a purchase, you agree to the terms of that policy. Returns and exchanges are subject to the conditions outlined there, including applicable timelines and product eligibility.

We reserve the right to decline returns or exchanges that do not meet the conditions of our policy, including items that have been used, damaged by the customer, or returned outside the applicable window.

Section 8 — Intellectual Property

All content on this website, including but not limited to product names, scent names, brand copy, photography, graphics, logos, and the MISIYO brand mark, is the property of Misiyo Candle Company Ltd. and is protected by Canadian and international intellectual property laws.

You may not reproduce, distribute, modify, or use any of our content for commercial purposes without our express written consent. Unauthorized use of our brand, imagery, or copy may result in legal action.

Section 9 — Wholesale Accounts

Wholesale customers are subject to a separate wholesale agreement in addition to these Terms. In the event of any conflict between a wholesale agreement and these Terms, the wholesale agreement controls with respect to the wholesale relationship.

Wholesale pricing, minimum order quantities, and payment terms are outlined in your wholesale agreement. We reserve the right to modify wholesale terms or discontinue a wholesale relationship at our discretion.

Section 10 — Third-Party Links and Tools

Our site may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party sites. Links do not constitute endorsement.

We may provide access to third-party tools (such as payment processors or shipping integrations) on an “as is” basis. We have no liability for your use of those tools, which is entirely at your own risk.

Section 11 — User Submissions

If you submit reviews, feedback, contest entries, or other content to us, you grant us a non-exclusive, royalty-free, worldwide licence to use, publish, and distribute that content in connection with our business. We are under no obligation to maintain submissions in confidence or compensate you for them.

We do not warrant that products will meet your expectations in all cases, particularly where natural variation in handmade goods is involved. Product images are representative and individual items may vary slightly.

To the maximum extent permitted by applicable law, Misiyo Candle Company Ltd., its directors, officers, employees, affiliates, agents, contractors, suppliers, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or replacement costs, arising from:

  • Your use of or inability to use the Service
  • Any products purchased through the Service
  • Carrier delays, losses, or damages after an order has been shipped
  • Unauthorized access to or alteration of your data
  • Any other matter relating to the Service

Where liability cannot be fully excluded under applicable law (including Canadian consumer protection legislation), our total liability to you shall not exceed the amount you paid for the order giving rise to the claim.

Some provinces and states do not allow limitations on implied warranties or exclusions of incidental or consequential damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Misiyo Candle Company Ltd. and its officers, directors, employees, agents, and service providers from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your violation of the rights of a third party.

Section 17 — Dispute Resolution

We prefer to resolve any concerns directly and informally. If you have a dispute with us, please contact us first at hello@misiyo.com. We will make a genuine effort to resolve your concern within 10 business days.

If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing litigation. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

Nothing in this section limits your rights as a consumer under applicable Canadian consumer protection legislation, including the ability to file a complaint with the relevant provincial consumer protection authority.

Section 18 — Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Section 19 — Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the remainder of these Terms shall remain in full force and effect.

Section 20 — Entire Agreement

These Terms of Service, together with our Privacy Policy, Refund Policy, and any applicable wholesale agreement, constitute the entire agreement between you and Misiyo Candle Company Ltd. regarding your use of the Service.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
